Topic: Succession Planning
Speaker: Peter Chandler, CPA, JD, LL. M. | Principal, Baker Newman Noyes
Mr. Chandler will lead a discussion of the basic business and tax issues that should be considered in developing a plan for a “succession transaction.” The discussion will address the many variables that affect the design and outcomes of the transaction, such as the nature of the succession (family/estate planning vs. liquidity event), the structure of the business (corporation vs. partnership/LLC), and the nature of the potential successor (management, financial buyer, synergistic buyer, competitor). At the conclusion of the session, participants should understand how such variables influence the design and financing of the transaction. They should also gain an understanding of how design choices affect tax outcomes, and how the overall tax consequences can be optimized for all parties. Finally, they will be introduced to recent changes in Federal and state estate tax laws, and the significant impact those changes have on succession planning.
Peter is one of the founders of Baker Newman Noyes, having previously been with KPMG, one of our predecessor companies since 1975. He is a principal in our Tax Division and served as Director of the division until early 2007. Peter specializes in tax planning for family-owned businesses, and assister with growth and succession issues. Peter earned a Bachelor of Arts degree from Bowdoin College, a J.D. from University of Maine School of Law and an LL. M. from Boston University. Peter is married with two daughters. He enjoys caring for his 200 year old house, and anything to do with boats in salt water.
